CoAsia Group has established a Code of Ethics to uphold integrity

  1. Chapter 1
    Preamble

    CoAsia Corporation (hereinafter referred to as the “Company”) hereby establishes this Code of Ethics as the standard for proper conduct and ethical judgment to be observed by all executives and employees. By faithfully fulfilling its fundamental responsibilities as a corporation and its broader responsibilities to society, the Company is committed to putting this Code into practice in its pursuit of becoming an exemplary enterprise.

    Fundamental Responsibilities

    Article 1 (Creating the Best Products and Services)

    We strive to become a world-class company by creating the highest-quality products and services through quality-focused management.

    1. We regard quality as our highest value and never compromise or make concessions on quality.

    2. We make every effort to achieve the highest level of competitiveness by delivering better products and services at lower cost and greater speed.

    Article 3 (Enhancing Quality of Life)

    Article 5 (Disclosure of Management Information)

    We faithfully disclose management information to build a relationship of mutual trust with our shareholders.

    1. In accordance with applicable laws and regulations, we actively disclose information regarding management, business activities, and other corporate matters to shareholders and other stakeholders.

    2. We disclose management information faithfully, using appropriate methods and at the appropriate time.

    Respect for Customers

    Article 6 (Respect for Customers)

    We always respect and appreciate our customers and think and act from their perspective.

    1. We treat all customers fairly and equally.

    2. In our sales activities, we do not make any false or misleading representations regarding the quality, performance, or specifications of our products and services.

    3. We accommodate the diverse needs of our customers and provide optimal solutions.

    1. We listen to and accept customer complaints and suggestions with an open mind.

    Article 9 (Fulfillment of Social Roles and Responsibilities)

    As a responsible corporate citizen, we faithfully fulfill the roles and responsibilities expected by society and pursue harmony, cooperation, and mutual development with local communities.

    1. We fulfill our social responsibilities as a corporate citizen by creating employment through sustainable business activities and faithfully meeting our tax obligations.

    2. As part of our corporate social responsibility, we actively participate in social contribution activities, including community service, disaster relief, and public awareness initiatives.

    3. We build communities and networks with institutions and organizations dedicated to enriching society and continuously develop these relationships.

    Article 10 (Mutual Trust with Business Partners and Affiliates)

    Under the principle of mutual prosperity, we conduct business with our partners and affiliates fairly and in good faith, based on relationships of equal standing and mutual respect.

    1. When selecting business partners, we consider all relevant factors fairly and impartially to identify the best business partners.

    2. We do not use a superior bargaining position to impose any form of unfair pressure or exercise undue influence.

    3. We pursue mutual development by providing all reasonably available support necessary to strengthen the competitiveness of our business partners and affiliates.

    Article 11 (Compliance with Laws and Fair Competition)

    In all business and sales activities, we comply with the applicable laws and regulations of every country and community in which we operate and respect social values, including local cultures and customs.

    1. We faithfully comply with all applicable laws, regulations, rules, and fundamental standards of conduct while respecting local cultures and customs.

    2. We respect the principles of fair market competition and do not seek profit through improper or unethical business practices.

    3. We respect our competitors and compete freely and fairly through legitimate means and our own capabilities.

    Article 12 (Honor and Dignity)

    We uphold our honor and dignity by practicing humanity, integrity, courtesy, and proper etiquette in our daily lives.

    1. We value living in harmony with others and uphold our personal honor and dignity by practicing humanity, integrity, courtesy, and proper etiquette with a positive and considerate mindset.

    2. We do not engage in unethical or illegal conduct that could undermine public trust or bring disrepute.

    3. Recognizing that a healthy family life forms the foundation of our social life, we refrain from extravagance, waste, excessive formality, gambling, and excessive drinking, and we do not engage in violence.

    Article 13 (Autonomy, Creativity, and a Spirit of Challenge)

    We respect individual autonomy, creativity, and a spirit of challenge.

    1. We understand our duties and roles, exercise independent judgment and take action based on fundamental principles, and accept responsibility for the results.

    2. To create greater value, we maintain a challenging and creative mindset, openly express our views regardless of position, and listen attentively to one another.

  7. Chapter 7
    Basic Ethics for Executives and Employees

    Article 15 (Separation of Business and Personal Interests)

    We clearly distinguish between business and personal matters and do not use our positions for personal gain.

    1. We perform our duties fairly and impartially, free from personal emotions or interests.

    2. In performing our duties, we always place the interests of the Company first in our decisions and actions.

    3. We do not engage in any improper conduct, including directly or indirectly accepting money, valuables, preferential treatment, favors, entertainment, or other benefits from stakeholders.

    Article 16 (Information Protection)

    Company information obtained in the course of performing our duties is recorded and managed as a knowledge asset and kept secure.

    1. Customer information and assets may only be brought in or taken out for legitimate business purposes, and all applicable customer procedures must be followed.

    2. Information obtained in the course of performing our duties must never be disclosed without prior authorization or approval, either during employment or after leaving the Company.

    3. All information related to business activities must be accurately and clearly recorded and reported based on facts and managed as the Company's knowledge assets.

    Article 17 (Personal Interests Related to Duties)

    We do not engage in improper conduct for personal gain in the course of performing our duties.

    1. We do not participate as promoters of profit-making organizations or companies with which we conduct business, nor do we directly or indirectly acquire ownership interests in such entities.

    2. We do not invest in or engage in financial transactions with business partners or organizations that have business interests involving the Company.

    Article 18 (Use of Company Assets)

    We do not use Company assets for personal purposes.

    1. We use Company assets with the same care as our own property and take precautions to prevent loss, misuse, or theft.

    2. We prohibit the copying, installation, use, transmission, or storage of illegal software and do not use personally purchased software for Company business.

    3. We do not use Company information, materials, equipment, or facilities for outside work or personal purposes.

    Article 19 (Prohibition of Concurrent Employment and Outside Work)

    We do not engage in concurrent employment or other activities that interfere with our duties.

    1. We do not engage in outside employment, including part-time work, hold concurrent employment, or establish and operate a separate business.

    2. We do not provide intellectual property or business knowledge acquired through our duties to other companies or allow other companies to use our professional licenses or certifications without authorization.

    3. We do not use the Company's products or services to provide or sell maintenance or support services for separate compensation.

    Article 20 (Healthy Work Environment)

    We strive to create a positive workplace based on open communication, mutual trust, and respect among supervisors, subordinates, and colleagues.

    1. We do not engage in words or conduct reflecting social or cultural prejudice, including sexual harassment or derogatory conduct toward persons with disabilities.

    2. We respect one another, honor our commitments, and refrain from lying, making excuses, undermining others, or engaging in similar conduct.

    3. Employees do not engage in financial transactions with one another or provide gifts to their supervisors.

    Article 21 (Respect for Intellectual Property Rights)

    We recognize the importance of intellectual property, including trade secrets, respect the rights of others, and safeguard and protect our own rights.

    1. We strive to secure and maintain the Company's intellectual property rights. Any provision of the Company's intellectual property to a third party requires prior authorization or approval from the Company.

    2. We collect information about competitors and customers only through lawful and legitimate means.

    3. We respect third-party intellectual property rights and do not intentionally infringe, misuse, or otherwise improperly use such rights in a manner that may harm the Company.

    Article 22 (Political Activities)

    We do not engage in political activities in our capacity as Company employees.

    1. Employees may express political views in their personal capacity, independently of the Company, but must ensure that their personal views are not mistaken for the Company's position.

    2. We do not directly or indirectly make illegal contributions or provide expenses to any candidate for elected office, political party, or political committee.

    3. We do not engage in political activities within the Company or use the Company's organization, personnel, or assets for political purposes.

    4. Employees wishing to engage in political activities must consult with or obtain permission from the Company in advance to prevent any subsequent conflict with the Company.

    Article 23 (Environment and Safety)

    We pursue environmentally responsible business practices and comply with safety rules.

    1. We promote a responsible information culture and strive to establish appropriate information security measures.

    2. We pursue environmentally responsible business operations and comply with applicable environmental laws and regulations.

    3. We strictly comply with all applicable safety laws, regulations, and rules.

  8. Chapter 8
    Obligation to Comply with the Code of Ethics

    Article 24 (Compliance Obligations)

    All executives and employees must comply with the Code of Ethics, and executives and managers are responsible for ensuring that employees under their supervision comply with the Code.

    1. In the event of a violation of the Code of Ethics, we thoroughly investigate the cause and provide appropriate training to prevent recurrence.

    2. All executives and employees must faithfully comply with the Code of Ethics. Any person who violates the Code shall be held accountable for such conduct and may be subject to disciplinary action.

    3. If an executive or employee is instructed or pressured to engage in conduct that violates the Code of Ethics, or becomes aware of such conduct, they must report it to their department head or the Human Resources Department. Any questions or uncertainties regarding the Code should be discussed with the department head in advance.
